5. Intellectual Property

- Client-owned intellectual property shared with us remains the client’s property and will be used only as agreed.
6. Payments and Billing
All invoices are payable within the agreed payment period as specified in the Service Agreement or Invoice. In the event of any delay in payment:
- Suspension of Services: Aka Corptech reserves the right to suspend or restrict the provision of Services until outstanding dues are cleared.
- Late Payment Charges: Without prejudice to other rights and remedies available under law or contract, delayed payments shall attract an additional charge of 5% of the outstanding invoice amount per month (or part thereof) until full settlement is made.
- Recovery Costs: The Client shall also be responsible for any reasonable legal or collection costs incurred by Aka Corptech in recovering overdue payments.
7.Confidentiality
Both parties agree to maintain the confidentiality of proprietary or sensitive information exchanged during service delivery. Confidential information shall not be disclosed to third parties without prior consent, unless required by law.
8. Data Protection & Privacy
Our collection and use of personal data are governed by our Privacy Policy. By using our Services, you consent to such processing in accordance with applicable laws, including India’s DPDP Act 2023, GDPR, and CCPA/CPRA.
9. Third-Party Services
Our Services may integrate with or include links to third-party websites, software, or tools. We are not responsible for third-party content, services, or their privacy/security practices.
10. Limitation of Liability
- Our Services are provided “as is” and “as available.”
- We do not warrant that Services will be uninterrupted, error-free, or secure.
- To the fullest extent permitted by law, Aka Corptech is not liable for indirect, incidental, or consequential damages arising from your use of our Services.
- Our maximum liability for any claim is limited to the amount paid by you for the Services in question.
Indemnification

- Your violation of applicable laws or third-party rights
12. Termination

- Disputes shall be subject to the exclusive jurisdiction of courts in Noida, Uttar Pradesh, India

16. Refunds / Cancellations
Refunds/Cancellations if applicable are strictly subject to the terms of the respective contract. All rights are exclusively reserved by AKACORP Innovative Technology & Trade Private Limited.
